David Raynor, Partner

I am passionate about helping people build businesses. Most entrepreneurs do not have much experience in legal compliance and risk management.  They often ignore legal issues in the hopes that they can be sorted out once their business has taken off. But building a proper legal foundation is an essential component of the success of an enterprise. I help entrepreneurs, start-ups, small businesses and emerging companies build lasting businesses by efficiently managing their legal issues and by advising on strategy and execution. I help my clients focus on their business while resting easy that their companies, ideas and rights are protected.

Previously I was a Corporate & Securities Associate with Baker & McKenzie LLP, a large corporate law firm with offices around the globe. I practiced in their San Francisco, Palo Alto and Hanoi, Vietnam offices. I have extensive experience in business formation, governance, financing, and M&A transactions. I also advise on general contract, intellectual property and employment matters.

In addition to my legal experience, I’ve had an extensive business career. I was previously a Regional Vice-President for Intagio, a VC-backed company that provided unique financial and marketing solutions for companies in media, travel and hospitality verticals. I was also the founder and Managing Partner of Centaur Consulting, a boutique HR consulting firm headquartered in New York City that served global telecommunications companies. I have the entrepreneurial bug, too. I am currently developing a software product that will help start-ups manage many of their legal, compliance, contract and governance workflows. I’m looking forward to offering it to my clients soon.

I graduated from the University of San Francisco School of Law with a J.D., cum laude. I was a member of the U.S.F. Law Review, and received the Agnes O’Brien Smith Memorial scholarship. I was awarded CALI Awards for Excellence in Corporate Taxation, International Economic Relations, Legal Ethics, and Legal Research & Writing. My B.A. in Social & Global Studies with a concentration in Economics is from Antioch College in Yellow Springs, Ohio.

I live in the Potrero Hill neighborhood of San Francisco, California. I’m married to Erin and we have an awesome one-year-old boy, Connell. When I am not working I’m riding my bike, cooking, playing video games or having fun with my family. I also love to travel. I grew up overseas and speak fluent Spanish, and have worked at various times in Asia, Europe and Latin America.

Jessica Rybka, Associate

I have always been passionate about helping people build their businesses. Both of my parents are independent business owners, and experiencing their successes and challenges inspired me to pursue a career in law and business. While in college, I helped facilitate international trade through the U.S. Department of Commerce and the American Chamber of Commerce in Buenos Aires, Argentina. I then merged my interests in law and business when I completed my graduate studies in the JD/MBA program at the University of San Francisco.

My legal experience is primarily general corporate law, with a focus on start-ups and venture capital funding.  Prior to joining Accelerate Legal, I practiced law at Pacific Crest Law Partners, LLP, where I advised a range of clients including venture capital firms, small technology start-ups, and large multi-national corporations. Legal matters I address include business formation, equity and debt financing, seed and venture capital transactions, mergers & acquisitions, licensing and joint ventures, Internet legal issues, general intellectual property protection, and employment law counseling.

My family is originally from Argentina and I am a native Spanish speaker.  After growing up in Palo Alto, I moved to Southern California for a few years to study Political Science and Spanish Literature at Pitzer College, where I also competed on the Pomona-Pitzer Volleyball Team.  After college, I moved back to San Francisco to attend the University of San Francisco, and in 2009 I graduated with J.D. and M.B.A.

I currently live in the Haight Ashbury district of San Francisco, and when I’m not advising clients or drafting legal documents, I’m usually at Buena Vista Park with my dog, riding my bike, or out dancing.
